- Polyland Sp. z o.o. with its seat in Kraków, ul. Królewska 65/A, 30-081 Kraków, registered in the District Court for Kraków-Śródmieście in Kraków, XI Economic Department of the National Court Register under KRS number: 0000583802, NIP: 6772394580, REGON: 362875560 (hereinafter referred to as ‘Polyland Translation Agency’) provides translation services.
- These terms and conditions are addressed to all users and set out the rules for ordering, pricing, performing the Service and making payments, as well as for providing the Services electronically.
- The Customer may contact the Translation Agency at the following e-mail address: bok@polyland.pl or by telephone from Monday to Friday, from 9:00 to 16:00 at +48 609 853 852.
- The Administrator of the Customers’ personal data is Polyland Sp. z o.o. with its seat in Kraków, ul. Królewska 65/A, 30-081 Kraków, registered in the District Court for Kraków-Śródmieście in Kraków, XI Economic Department of the National Court Register under KRS number: 0000583802, NIP: 6772394580, REGON: 362875560.
§1 Definitions
“Polyland Translation Agency” or “Agency” – shall mean Polyland Sp. z o.o. with its seat in Kraków, ul. Królewska 65/A, 30-081 Kraków, registered in the District Court for Kraków – Śródmieście in Kraków, XI Economic Department of the National Court Register under KRS number: 0000583802, NIP: 6772394580, REGON: 362875560. ‘Website’ – the website at https://polyland.pl/ belonging to Polyland Translation Agency, through which the Client fills in and sends the Quote Form.
“Client” – shall be understood to mean a natural person acting on his/her own behalf or on behalf of a legal person or an organisational unit without legal personality, but having legal capacity under the Act, to whom the Services may be provided.
“Services” – shall mean the following translation services provided by Polyland Translation Agency to the Client: non-sworn written translation, sworn written translation, interpretation: simultaneous, consecutive, whispered, sworn, and additional services: verification, proofreading, correction and editing of translations.
‘’Quote Form‘’ – shall mean the form available at https://polyland.pl/ under the tab ‘’Free Quote‘’, by means of which the Client attaches a document to be translated in writing, or specifying the subject matter and nature of the translation in the case of interpreting, in the format . txt, .doc, .docx, .odt, .pdf, .jpg, .tif, .png, .rtf, .xls, .ppt, .gif, .tiff, .odt, .odp, .ods, .xml, .html, .po, specifying the type and kind of translation, the target language, the expected completion date, and his/her personal data: name and surname, e-mail address, optionally telephone number, filling in the appropriate fields of the Quote Form for this purpose.
“Newsletter” – shall be understood as a newsletter concerning the Services offered by Polyland Translation Agency, in particular promotions and news.
“Contact details” – the following data, by means of which the Client has the possibility to contact Polyland Translation Office: e-mail address: bok@polyland.pl or by phone from Monday to Friday between 9:00 and 16:00 at +48 609 853 852, as well as in person at the office at ul. Królewska 65a, 30-081 Kraków.
§2 General provisions and rules of use of the Website
- Any Customer may access the Terms and Conditions at any time via the ‘Terms and Conditions’ link on the Website.
- The information on the prices of the Services on the Website constitutes an invitation to conclude a contract for the provision of services within the meaning of Article 71 of the Civil Code, in accordance with the terms and conditions of the Regulations.
- The minimum technical requirements to be met in order to cooperate with the ICT system used by Polyland Translation Agency, including the conclusion of the agreement for the provision of Services and other electronic services, are: (1) a computer, laptop or other multimedia device with Internet access; (2) access to electronic mail and a valid e-mail address; (3) a web browser: Mozilla Firefox version min. 17.0 or Internet Explorer version min. 10.0, Opera version min. 12.0, Google Chrome min. 23.0, Safari min. 5.0; (4) The recommended minimum screen resolution is 1024×768.
- Not allowed:
- use of the Website for the purpose of carrying out activities that would harm the interests of the Website owner, be contrary to the law, morality or infringe the personal rights of third parties,
- supplying unlawful content to the Website,
- using the Website in a way that interferes with its functioning or engaging in computer or any other activity intended to come into possession of information not intended for the Customer, including the data of other Customers;
- placing unsolicited commercial information on the Website; and
- the use of content from the Website for other than personal use.
§3 Rules for placing an Order
- In order to place an order for a Translation Service, the Client must complete the Quote Form found on the Website under ‘Free Quote’ and submit it via the Website, or place the order by e-mail to the address provided in the Contact Details. The quote for the performance of the Service is free of charge.
- The customer is obliged to provide all necessary, information for the correct execution of the Service. In particular, the technical documents must be accompanied by reference materials provided by the customer and/or drawings that provide a better understanding of the documents.
- The valuation service referred to in paragraph 1 applies only to documents or requests sent via the Website or by e-mail. Polyland Translation Agency may refuse to provide a quotation for valid reasons, such as, for example, the illegibility of the documents sent. Information to this effect will be sent to the e-mail address provided in the Quote Form.
- The Customer shall receive a confirmation of acceptance of the Service order for processing together with its quotation to the e-mail address specified in the Quote Form or in the order sent by e-mail. Confirmation of acceptance of an order for the Service to be performed together with a quotation for the Service shall be deemed to be an offer within the meaning of Article 66 of the Civil Code.
- Confirmation of acceptance of the Service order for execution shall include the method, date of execution of the Service, method and place of handover of the completed Service.
- The duration of Service provision is calculated from the next working day following the day of sending, to the e-mail address bok@polyland.pl, a confirmation of payment made by the Customer to the Bureau in accordance with the Service quotation made by the Office. Sending of the payment confirmation should take place during working hours of the Office.
- For Clients with whom Polyland Translation Agency cooperates on an ongoing basis in the area of translation, the time taken to complete the Service is calculated from the date on which the Client’s statement of acceptance of the offer reaches the Translation Agency.
- At the request of Polyland Translation Agency, the Client is obliged to provide the Agency with the original or a scan of the signed Order Form without undue delay. The request from the Office may be expressed by e-mail or telephone, in accordance with the details given on the Quote Form originally provided in electronic form. Signing the Form by an authorised person may be required in particular in the event that the Quote Form has been filled in by a natural person acting on behalf of a legal person or organisational unit not possessing legal personality, but possessing legal capacity under the act.
§4 Method of Service Provision
- In the case of translations intended for publication, the Client shall indicate this fact in the Quote Form or in the order sent by e-mail. Failure to do so shall result in the translation not being deemed intended for publication and not being subject to the consultations and verifications referred to in paragraph 2 of this section.
- Translations intended for publication may be subject to consultation with the Client, as well as additional verification by the Client. In this case, the Client undertakes to cooperate fully with Polyland’s translation agency.
- In the case of translations and interpretations that require the use of specialised terminology, the Client should attach to the Quote Form a glossary with the range of vocabulary to be taken into account in the performance of the Service.
- In the case of interpreting, the Client shall inform Polyland Translation Agency of the subject matter and nature of the interpreting and provide materials that may help the interpreter prepare for the Service. In particular, the Client provides the programme of the event in the case of simultaneous interpreting.
- The Interpreter has the right to refuse to interpret if the equipment provided by the Client is faulty, if this prevents the Service from being performed correctly.
§5 Price for the execution of the Service
- The prices quoted on the Website are indicative prices for the translation of 1 billing page.
- Billing page consists of:
- for non-sworn translations: 1500 characters with spaces of the source text;
- forsworn translations: 1125 characters with spaces of the source text;
- Interpretation is priced using billing units. The billing unit is:
- for simultaneous interpretation: 4-hour block
- for consecutive interpreting: 4-hour block
- for whispered interpretation: 4-hour block
- for sworn interpretation: 1-hour block
- In the case of interpreting services, the time of the interpreter’s work is calculated from the hour for which the interpreter has been arranged and reported at the place of interpreting until the time the Client releases the interpreter from his/her duties. If this time is longer than the time specified in the Quote Form, or based on individual arrangements with the Client prior to the performance of the Service, the Client shall be obliged to pay the remaining part of the price for the Service, which shall be the difference between the price for the entire Service, calculated on the basis of the interpreter’s actual working time, and the amount of the advance payment made prior to the performance of the Service on the basis of the quote form enclosed with the confirmation of acceptance of the Service for performance. Payment for the remaining part of the price for the realization of the Service shall be made by the Client on the basis of a VAT invoice issued by Polyland Translation Agency with a seven-day payment term.
- Polyland Translation Agency stipulates a minimum order amount. In the case of translations from the scope of languages belonging to language groups I and II, the minimum order amount is PLN 100 net. In the case of translations in other language groups, the minimum order amount is PLN 120 net. Language groups are indicated in the price list under the tab ‘Offer’.
- The price valid for the performance of the Service, with the exception of the case referred to in subsection 4 of this section, is the price appearing in the individual quotation sent to the Customer by the Office together with confirmation of acceptance of the Service order for performance.
- Payments for the Services shall be made to the bank account number belonging to Polyland Translation Agency, as indicated on the invoice issued by the Translation Agency.
- In the case of travelling interpreters, the client is obliged to cover the interpreter’s transport, accommodation and food costs.
§6 Deadline for the Service
- Polyland Translation Agency provides services in the following modes for sworn and non-sworn translations:
- standard mode, i.e.: up to 5 billing pages completed within 1 working day
- urgent mode, i.e.: up to 10 billing pages completed within 1 working day
- express mode, i.e.: up to 15 billing pages completed within 1 working day
- The Service completion date is agreed individually with the Customer and is confirmed after the Customer has sent confirmation of payment.
- The completion date of the Service is calculated in full working days.
- The execution time for the Service is calculated from the day following the day on which the Customer sends confirmation of payment in accordance with the individual quotation for the Service, or from the day following the submission of the Form if confirmation of acceptance of the Service order for execution is not required in accordance with the Terms and Conditions.
- Translations executed in standard mode shall be transmitted to the Client electronically by 4 p.m. on the day of execution or as individually agreed.
- Sworn translations executed in standard mode shall be communicated to the client as individually agreed.
§7 Claims
- The Customer has the right to lodge a complaint about the completed Service within 7 days of its delivery to the Customer.
- Complaints should be made by email, post or delivered in person to the office of Polyland Translation Agency.
- The complaint should contain a detailed description of the objections to the Service provided.
- Polyland Translation Agency shall consider the complaint within 14 days from the date of its submission. Within this period, the Office shall inform the Client, by telephone or e-mail, whether the complaint has been accepted or rejected.
- In the event that a complaint is considered justified, Polyland Translation Agency is obliged to rectify the defects as soon as possible.
- Polyland Translation Agency stipulates that the stylistics of the translation, the layout of the document, and the nomenclature, if correct, are not subject to complaint, unless specific conditions of the translation justify individual agreements with the Client and materials provided by the Client.
§8 Withdrawal from the contract
- In the case of the provision of services to consumers:
- The declaration of withdrawal can be sent by email as well as by post using the Contact Data. The declaration of withdrawal can also be submitted on the form, a specimen of which is attached as Appendix 2 to the Consumer Rights Act of 30 May 2014,
- Polyland Translation Agency informs that the consumer has the right to withdraw from the agreement within 14 days from the day of its conclusion without giving any reason, however, if the consumer wishes to retain the abovementioned right, he/she acknowledges that the translation shall be performed on the date agreed by the parties, however, not earlier than within 14 days from the day of the agreement conclusion; if the consumer wishes to receive the translation earlier, he/she loses the right to withdraw from the agreement,
- In order to exercise the right of withdrawal, the Customer who is a consumer must inform Polyland Translation Agency of his/her decision to withdraw from this contract by an unequivocal statement (for example, a letter sent by post, fax or e-mail); in the case of withdrawal, the Contractor shall return the payment received from the Customer using the same method of payment that the consumer used, unless the consumer expressly agrees to a different method of return that does not involve any costs for him/her,
- If the Customer wishes to proceed with the performance of the service before the expiry of 14 days from the conclusion of the contract, the Customer who is a consumer shall waive the right to withdraw from the contract.
§9 Responsibility
- Polyland Translation Agency shall not be liable for defects and delays caused by force majeure, and shall not be liable for factual errors in the translation which are the result of errors in the source text or the fault of the Client, in particular if the Client has not fulfilled the obligation referred to in § 2, section 3.
§10 Transfer of economic copyright
- Polyland Translation Agency undertakes to transfer to the Client the author’s economic rights to the written translations made on the basis of this agreement, which meet the characteristics of a work within the meaning of the Act on Copyright and Related Rights.
- The transfer of copyrights to the project within the meaning of subsection 1 of this section shall take place at the moment of the transfer of the translation to the Client, if the Client has paid the full price before the performance of the Service on the basis of the quotation sent along with the confirmation of acceptance of the Order for performance, or at the moment of payment of the full price in other cases.
- The Contractor declares that it assigns the rights referred to in paragraph 1 of this section without any limitation in time and territory, in all fields of exploitation known at the time of conclusion of this agreement, in particular the following fields of exploitation:
- recording and multiplication of the translation – production of copies of the work by a specified technique, including printing, reprography and magnetic recording; and by digital technique;
- fixation and reproduction in computer memory, on computer disks and on all types of media intended for digital recording, in such a way that the projects can be made available on computer networks, mobile telephone networks and using telecommunications networks and satellite transmission, as well as fixation and reproduction using light-sensitive techniques and computer recording techniques on media adapted for this form of recording;
- marketing the translation;
- public exhibition, display and communication of the project to the public in such a way that everyone can access it from a place and at a time individually chosen by them.
- The parties agree that the transfer of copyright in the designs referred to in paragraph 1 of this section shall be free of charge.
§11 Confidentiality
- Polyland Translation Agency undertakes to keep confidential and not to use any information concerning the Client or third parties obtained in connection with the provision of the Service. The above prohibition does not include information that is publicly known or provided to state authorities, provided that the requirement to disclose such information results from legal regulations.
- The information referred to in paragraph 1, of this clause constitutes all information about the Client’s affairs that is not the subject of entries in public registers, nor is it publicly known, and the fact of its public knowledge is not a consequence of a breach of the confidentiality rules set out in this clause. The information referred to in the preceding sentence includes, in particular, commercial, technical, technological, organisational information, know-how, and any information obtained in connection with the provision of the Service.
§12 Other services provided by electronic means
- In addition to making it possible to place orders for translation services in accordance with these Terms and Conditions, Polyland Translation Agency also provides the Newsletter service to Clients free of charge via electronic means.
- In order to commence Newsletter service provision, it is required that the Client agrees to receive the Newsletter by providing his/her e-mail address in the appropriate field on the Site and confirming it by clicking on the activation link sent by Polyland Translation Agency to the e-mail address provided by the Client (the moment of commencement of Newsletter service provision).
- The Newsletter is provided free of charge for an indefinite period of time. The Client has the possibility, at any time and without giving any reason, to unsubscribe from the Newsletter (Newsletter cancellation), in particular by clicking on the deactivation link located in each Newsletter sent to the Client in the form of an e-mail message or by sending an appropriate request to Polyland Translation Agency using the Contact Information.
- The Customer is entitled at any time to request that Polyland Translation Agency discontinue the Newsletter service. In such case, the Newsletter service agreement shall terminate, and the Office shall have 14 days to remove the Customer’s data from the database of persons who agreed to receive the Newsletter, subject to the principles of processing the Customer’s personal data contained in the document ‘Privacy Policy’, available on the Site under the tab ‘Privacy Policy’.
§13 Personal data protection
- The Client’s personal data is processed by Polyland Translation Agency as the controller of the personal data.
Polyland Translation Agency uses appropriate technical and organisational measures to ensure the protection of personal data.
The principles and purposes of the processing of Customers’ personal data are contained in the document “Privacy Policy”, available on the Website under the tab “Privacy Policy”.
§14 Final provisions
- The Terms and Conditions are effective as of 25.05.2018
- The governing law for the resolution of any disputes arising under these Terms and Conditions is Polish law.
- In matters not regulated by these Regulations, the generally applicable provisions of Polish law, in particular the Civil Code and other relevant provisions of generally applicable law shall apply.
- The Parties shall endeavour to amicably resolve any disputes arising from a contract concluded under these Terms and Conditions.
